Notice of Special Resolutions

To allow for post-pandemic hybrid and online general meetings, BC non-profits and societies (including the FSA) have recently been advised to amend their by-laws.

On January 25, 2023, at our in-person only FSA General Meeting (Town Square A&B), we will be voting on a Special Resolution changing our by-laws to facilitate hybrid/online general meetings (with other minor by-law amendments to reflect current practices). All amendments can be found here. Our current bylaws are available here.

Notes:

  1. Changes presented in red: where only the by-law clause numbering/lettering is red indicates housekeeping change to make numbering/lettering consistent or correct mis-numbering/lettering.
  2. The special resolution cannot be amended.
  3. Per the BC Societies Act, a special resolution passes at a general meeting by at least 2/3 of the votes cast by voting members present. The FSA by-laws prohibit proxy voting.
  4. The special resolution, if it passes, does not take effect until it is filed at the Registrar’s office in Victoria.
